Welcome to CasaDamí Key.

These Terms of Use (“Terms”) govern your access to and use of the CasaDamí Key mobile application, website, concierge services, communications, messaging features, reservations, events, benefits, and related offerings (collectively, the “Platform”) operated by CADE LLC dba CasaDamí (“CasaDamí,” “we,” “our,” or “us”).

By accessing, downloading, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. THE PLATFORM

CasaDamí Key is a private, invitation-only membership platform designed to provide approved members with access to select benefits, experiences, concierge services, communications, reservations, invitations, partner offers, and other features made available by CasaDamí from time to time.

Membership is a privilege, not a right, and is personal, revocable, non-transferable, and subject to these Terms.

Access to the Platform does not guarantee access to any reservation, event, experience, product, service, invitation, benefit, promotion, or opportunity.

CasaDamí reserves the right to modify, suspend, limit, discontinue, replace, or remove any feature, benefit, service, or functionality of the Platform at any time and without liability.

2. ELIGIBILITY

You must be at least eighteen (18) years old to access or use the Platform.

Membership is available only to individuals invited and approved by CasaDamí.

By using the Platform, you represent and warrant that:

(a) you are at least eighteen (18) years old;

(b) all information you provide is accurate and current;

(c) you possess the legal authority to enter into these Terms; and

(d) your use of the Platform complies with all applicable laws and regulations.

3. MEMBERSHIP

Membership is granted solely at the discretion of CasaDamí.

CasaDamí reserves the unrestricted right to approve, deny, suspend, restrict, revoke, terminate, or refuse membership, access to the Platform, reservation privileges, concierge services, event invitations, or any associated benefits at any time, with or without notice.

CasaDamí reserves the right to modify, suspend, revoke, terminate, or deny membership for any reason or no reason, in its sole discretion, including where CasaDamí determines that a member’s conduct is inconsistent with the values, culture, reputation, safety, business interests, or community standards of CasaDamí.

No member has a vested right to continued participation in CasaDamí Key regardless of membership duration, spending history, referral activity, or prior benefits received.

Membership does not create any ownership interest, partnership, agency relationship, employment relationship, joint venture, equity interest, or other legal interest in CasaDamí or its affiliates.

Membership has no cash value, ownership value, transferable value, resale value, or investment value.

4. MEMBER ACCOUNTS

You are responsible for maintaining the confidentiality and security of your account credentials.

You agree not to share your account, login credentials, membership access, or membership benefits with any unauthorized person.

You are responsible for all activities occurring under your account and agree to notify CasaDamí immediately of any unauthorized access or security breach.

5. APP LICENSE

The Platform is licensed, not sold, to you.

Subject to these Terms, CasaDamí grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use.

You may not:

• copy, reproduce, distribute, modify, or create derivative works of the Platform;

• reverse engineer, decompile, disassemble, or attempt to derive source code;

• interfere with security features;

• use automated tools, bots, crawlers, or scraping technologies;

• access another user’s account;

• harvest member information;

• introduce malware or harmful code;

• attempt unauthorized access to systems, servers, or databases.

This license automatically terminates if you violate these Terms.

6. APP STORE ACKNOWLEDGEMENT

If you download or access the Platform through Apple’s App Store, you acknowledge and agree that:

(a) these Terms are entered into solely between you and CasaDamí and not Apple;

(b) CasaDamí, and not Apple, is solely responsible for the Platform and its content;

(c) Apple has no obligation to furnish maintenance or support services;

(d) Apple is not responsible for addressing any claims relating to the Platform;

(e) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.

In the event of any failure of the Platform to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price paid for the application, if any. To the maximum extent permitted by law, Apple shall have no other warranty obligation whatsoever with respect to the Platform.

7. CONCIERGE SERVICES

The Platform may provide access to concierge services and personalized assistance.

Concierge services may include recommendations, reservations, introductions, travel suggestions, hospitality assistance, event coordination, and other services.

CasaDamí does not guarantee that any request can or will be fulfilled.

Recommendations, referrals, and information provided through the Platform are offered solely for convenience and informational purposes and do not constitute legal, medical, tax, accounting, investment, insurance, financial, mental health, or other professional advice.

Many concierge services involve independent third-party businesses, venues, service providers, brands, transportation providers, event organizers, and hospitality partners.

CasaDamí does not control and is not responsible for the products, services, pricing, availability, conduct, performance, safety, or actions of any third party.

Any agreement entered into between a member and a third party is solely between the member and that third party.

8. BENEFITS AND OFFERS

Members may receive access to benefits, privileges, invitations, experiences, gifts, promotions, preferred reservations, concierge assistance, partner offers, and other opportunities.

All benefits:

• are subject to availability;

• may be modified or discontinued at any time;

• have no cash value;

• are non-transferable; and

• may not be redeemed for cash or exchanged.

CasaDamí makes no guarantee regarding the availability, duration, frequency, or value of any benefit.

Access to benefits through the Platform does not create any contractual entitlement to receive any specific benefit, reservation, invitation, event access, promotion, or opportunity.

9. RESERVATION PRIVILEGES

CasaDamí Key may provide members with preferred reservation access, priority reservation requests, waitlist consideration, and other hospitality benefits.

Priority access does not guarantee availability.

All reservations remain subject to restaurant capacity, private events, operational needs, staffing levels, local regulations, and other factors determined by CasaDamí.

CasaDamí reserves the right to limit, deny, modify, or cancel reservation privileges at any time.

Repeated no-shows, late cancellations, reservation abuse, excessive modifications, disruptive conduct, or misuse of reservation privileges may result in suspension or termination of reservation privileges and membership.

10. GUEST POLICY

Unless otherwise specified by CasaDamí, membership benefits may be utilized by the member and up to four (4) guests accompanying the member at any given time.

The member must be physically present to utilize any membership benefit, reservation privilege, invitation, event access, concierge service, or experience.

Membership benefits may not be transferred, assigned, sold, gifted, loaned, sublicensed, or otherwise used by any person when the member is not present.

The member accepts responsibility for the conduct, actions, damages, charges, and compliance of all guests accompanying the member.

Any violation of these Terms by a guest may be treated as a violation by the member.

11. EVENTS AND EXPERIENCES

CasaDamí may offer access to private events, dinners, tastings, educational programming, travel experiences, social gatherings, partner activations, and other experiences.

Participation in any event is voluntary and at the participant’s own risk.

Additional event-specific waivers, releases, attendance requirements, dress codes, cancellation policies, age restrictions, or participation requirements may apply.

CasaDamí reserves the right to deny admission to, remove, or refuse service to any individual whose conduct is disruptive, inappropriate, unsafe, unlawful, intoxicated, or inconsistent with the values, culture, reputation, safety, or operations of CasaDamí.

12. PAYMENTS

Certain events, experiences, products, services, reservations, or offerings available through the Platform may require payment.

All fees are stated in U.S. Dollars unless otherwise specified.

Payments may be processed by third-party payment processors.

You authorize CasaDamí and its payment providers to charge your selected payment method for all applicable charges, taxes, fees, and purchases.

Except where required by law or expressly stated otherwise, all payments are non-refundable.

13. COMMUNICATIONS

By creating an account, you consent to receive communications from CasaDamí, including email communications, push notifications, SMS or text messages, concierge messages, in-app messages, and other electronic communications.

These communications may include account notifications, concierge communications, event invitations, membership updates, promotional offers, operational notices, and other information related to the Platform.

You may opt out of certain promotional communications, but transactional and account-related communications may continue.

Disabling push notifications may limit access to invitations, reservation updates, concierge communications, and other Platform functionality.

You agree that all agreements, notices, disclosures, communications, and records provided electronically satisfy any legal requirement that such communications be in writing.

14. CONCIERGE CHAT AND COMMUNICATION MONITORING

Communications made through concierge chat, messaging features, support channels, or similar communication tools may be monitored, reviewed, recorded, stored, and retained by CasaDamí for quality assurance, training, security, operational, legal, and customer service purposes.

15. ACCOUNT DELETION

Members may delete their account through the Platform, if available, or by contacting CasaDamí at the email address listed below.

Upon a verified deletion request, CasaDamí may delete or anonymize personal information associated with the account, except where retention is required for legal, accounting, tax, fraud prevention, dispute resolution, security, or legitimate business purposes.

16. PRIVACY

Your use of the Platform is subject to the CasaDamí Privacy Policy, which is incorporated into these Terms by reference.

17. MEMBER CONFIDENTIALITY AND COMMUNITY STANDARDS

CasaDamí Key is intended to foster a trusted and respectful private community.

Members agree to respect the privacy, confidentiality, and personal information of other members, guests, partners, employees, and attendees.

Without prior consent, members shall not:

• distribute another member’s personal information;

• share confidential membership information;

• disclose member directories or attendee lists;

• use membership access for unsolicited commercial solicitation;

• record or publish private conversations occurring at member events; or

• publicly disclose confidential details regarding private events, member-only experiences, or internal communications.

Members further agree not to:

• harass, threaten, intimidate, or abuse any person;

• engage in fraudulent conduct;

• misuse the Platform;

• impersonate another individual;

• resell invitations, reservations, event access, or benefits;

• violate any law; or

• engage in conduct that may harm CasaDamí, its members, guests, employees, partners, reputation, or operations.

18. NON-SOLICITATION

Members may not use the Platform, events, member relationships, introductions, communications, directories, or experiences primarily for unsolicited commercial solicitation, direct sales, recruiting, mass marketing, promotional campaigns, or similar activities.

CasaDamí reserves the right to determine, in its sole discretion, whether conduct violates the spirit and purpose of the membership community.

19. PHOTOGRAPHY AND MEDIA RELEASE

CasaDamí events may be photographed, filmed, recorded, or otherwise documented.

By attending any CasaDamí event or experience, you grant CasaDamí the irrevocable right to use your name, image, likeness, voice, and appearance in photographs, videos, recordings, promotional materials, social media content, advertising materials, and other marketing content without compensation, unless prohibited by applicable law.

20. THIRD-PARTY SERVICES

The Platform may integrate with or provide access to third-party applications, reservation systems, payment processors, mapping services, communication providers, event platforms, travel providers, hospitality partners, and other services.

CasaDamí does not control and is not responsible for any third-party service, application, website, platform, product, offering, content, availability, pricing, or conduct.

Your use of any third-party service may be subject to separate terms and policies established by the applicable provider.

21. INTELLECTUAL PROPERTY

The Platform and all content contained therein are owned by CasaDamí or its licensors and are protected by applicable intellectual property laws.

No rights are granted except those expressly stated in these Terms.

CasaDamí shall be solely responsible for the investigation, defense, settlement, and discharge of any claim that the Platform infringes a third party’s intellectual property rights, to the extent required by applicable law.

22. FEEDBACK

Any suggestions, comments, ideas, recommendations, feedback, or other submissions provided to CasaDamí may be used by CasaDamí without restriction, compensation, or obligation.

23. DISCLAIMERS

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASADAMÍ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CASADAMÍ DOES NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE AT ALL TIMES, OR THAT ANY REQUEST, RESERVATION, BENEFIT, INVITATION, OR EXPERIENCE WILL BE AVAILABLE.

24. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CASADAMÍ, CADE LLC, ITS AFFILIATES, OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST PROFIT DAMAGES ARISING OUT OF OR RELATING TO THE PLATFORM, MEMBERSHIP, EVENTS, EXPERIENCES, CONCIERGE SERVICES, RESERVATIONS, BENEFITS, OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF CASADAMÍ, CADE LLC, ITS AFFILIATES, OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, AND LICENSORS FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM, MEMBERSHIP, EVENTS, EXPERIENCES, CONCIERGE SERVICES, RESERVATIONS, BENEFITS, OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

25. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless CasaDamí, CADE LLC, and their respective owners, officers, managers, employees, affiliates, agents, representatives, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from your use of the Platform, violation of these Terms, violation of law, or the conduct of you or your guests.

26. FORCE MAJEURE

CasaDamí shall not be liable for any delay, interruption, cancellation, suspension, or inability to provide benefits, reservations, events, experiences, concierge services, or Platform functionality resulting from circumstances beyond its reasonable control.

27. EXPORT COMPLIANCE

You represent and warrant that you are not located in a country subject to a United States Government embargo and are not listed on any United States Government list of prohibited or restricted parties.

You agree not to use, export, or re-export the Platform except as authorized by United States law and the laws of the jurisdiction in which the Platform was obtained.

28. DISPUTE RESOLUTION AND ARBITRATION

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by JAMS in Orange County, California.

The arbitration shall be conducted solely on an individual basis.

CLASS ACTIONS, CLASS ARBITRATIONS, AND REPRESENTATIVE ACTIONS ARE EXPRESSLY WAIVED.

Nothing in this section prevents either party from pursuing claims in small claims court where permitted by law.

29. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of California without regard to conflict of law principles.

30. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions.

31. NO WAIVER

The failure of CasaDamí to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

32. ASSIGNMENT

You may not assign or transfer these Terms without CasaDamí’s prior written consent.

CasaDamí may assign or transfer these Terms without restriction in connection with a merger, acquisition, sale of assets, financing transaction, corporate reorganization, or by operation of law.

33. SURVIVAL

The provisions relating to confidentiality, intellectual property, payments, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and all provisions which by their nature should survive termination shall survive termination of these Terms and membership.

34. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and CasaDamí regarding the Platform and supersede all prior or contemporaneous communications, understandings, representations, and agreements relating to the Platform.

35. CHANGES TO THESE TERMS

CasaDamí may revise these Terms at any time.

Updated Terms will be posted through the Platform and become effective upon posting unless otherwise stated.

Continued use of the Platform after any update constitutes acceptance of the revised Terms.
